These Terms and Agreement ("Terms"), as amended from time to time, govern your use of the 3 Degrees platform and the services provided by 3 Degrees App Pte Ltd (Reg No: 202117535K), a Singapore incorporated private limited company with its registered office at 1 Kim Seng Promenade #13-04 Great World City Office Tower 237994. By accessing and using any part of this site, you (referred to as "Donor" or "User") agree to be legally bound by these Terms. If you do not agree to these Terms, please do not use this site.

1. Introduction

1.1 Scope and Applicability

These Terms apply to all individuals and entities who use the 3 Degrees platform to donate funds to charities and social impact organizations ("Charities"). "3 Degrees", "3 Degrees App Pte Ltd", "platform", "we", "us", "our", and other similar terms refer to 3 Degrees App Pte Ltd. By using the platform, you agree to comply with these Terms and any applicable laws and regulations.

1.2 Acceptance of Terms

By using the 3 Degrees platform, you confirm that you have read, understood, and accepted these Terms. These Terms constitute a legally binding agreement between you and 3 Degrees. If you do not agree with any part of these Terms, you should not use the platform.

1.3 Modifications to Terms

3 Degrees reserves the right to change or modify these Terms at any time. Notice of any changes will be provided to Donors through email or through our platform. Continued use of the platform after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically for any updates or changes.

If you have any questions or concerns about these Terms, please contact us at [email protected]. By setting up an account and making donations through the 3 Degrees platform, you acknowledge and agree to the above and the following Terms and conditions outlined in this document.

2. Definitions

For the purposes of these Terms, the following definitions apply:

2.1 "3 Degrees"

Refers to 3 Degrees App Pte Ltd, a Singapore incorporated private limited company, including its platform, services, and any associated websites or applications.

2.2 "Account Holder"

Refers to any Singapore registered charity, organization, or group that sets up an account on the 3 Degrees platform to raise funds for charitable purposes.

2.3 "Campaign"

A fundraising initiative created by an Account Holder on the 3 Degrees platform to solicit donations for specific causes or projects.

2.4 "Charity"

A Singapore registered charity or social impact organization that uses the 3 Degrees platform to raise funds.

2.5 "Collection Period"

The time frame during which donations are collected before being disbursed to the relevant charities.

2.6 "Commencement Date"

The date on which you first access or use the 3 Degrees platform.

2.7 "Content"

Any text, images, videos, reviews, comments, or other material posted by users on the 3 Degrees platform.

2.8 "Donor" or "User"

Any individual or entity that uses the 3 Degrees platform to make donations to charitable campaigns.

2.9 "Donation"

A monetary contribution made by a Donor to a Campaign via the 3 Degrees platform.

2.10 "Personal Data"

Information relating to an identified or identifiable individual that is collected, used, or disclosed in connection with the use of the 3 Degrees platform, as defined by the Personal Data Protection Act (PDPA) 2012 of Singapore.

2.11 "Platform"

Refers to the 3 Degrees website, services, and any associated applications that facilitate the connection between Donors and Charities for the purpose of fundraising.

2.12 "Referral Fee"

A fee charged by 3 Degrees for donations made through the platform, used to cover operational and maintenance costs.

2.13 "Terms"

Refers to these Terms and Agreement, including any amendments, which govern the use of the 3 Degrees platform and services.

3. Agreement Period

3.1 Commencement Date

The agreement between you ("Donor") and 3 Degrees shall commence on the date you first access or use the 3 Degrees platform (the "Commencement Date").

3.2 Duration

This agreement will continue in effect until terminated by either party in accordance with these Terms. You may terminate this agreement at any time by ceasing to use the platform and providing written notice to 3 Degrees.

3.3 Termination by 3 Degrees

3 Degrees reserves the right to terminate this agreement and your access to the platform at any time, with or without cause, and with or without notice. Termination may occur due to, but is not limited to, violation of these Terms, fraudulent or illegal activities, or other conduct that 3 Degrees determines to be harmful to its interests or the interests of other users.

3.4 Effect of Termination

Upon termination of this agreement:

Your right to use the platform and any services provided by 3 Degrees will immediately cease.
Any outstanding obligations or liabilities incurred prior to the termination date shall survive the termination of this agreement.
3 Degrees will retain any data collected during your use of the platform in accordance with our Data Protection and Privacy policies.

3.5 Amendments to Agreement Period

3 Degrees reserves the right to amend the terms of this agreement period at any time. Any changes will be communicated to you through email or the platform. Continued use of the platform after such changes will constitute your acceptance of the new terms regarding the agreement period.

4. Provision of Services

4.1 Description of Services

3 Degrees provides an online platform designed to facilitate fundraising for charities. As a Donor, you can use the platform to discover, engage with, and donate to various charitable campaigns.

4.2 Access to the Platform

By creating an account and using the platform, you gain access to features that allow you to:

Browse and search for charitable campaigns.
Make donations to campaigns of your choice.
Receive updates and information about the campaigns you support.

4.3 Fundraising Campaigns

Charities use the 3 Degrees platform to create and manage fundraising campaigns. These campaigns can include text, images, videos, and other content to inform and engage potential donors. Charities must provide accurate and truthful information about the campaigns and ensure that all content complies with our guidelines and relevant laws.Anti-Money Laundering (AML) and Counter-Terrorism Financing (CTF) Compliance:3 Degrees is committed to preventing the use of our platform for money laundering, terrorism financing, or any other illegal activities. To this end, we have implemented the following measures:

Verification: All Account Holders must undergo a thorough vetting process, which includes verification of their identity, legal status, and compliance with relevant regulations.
Monitoring: We continuously monitor all fundraising activities for any suspicious or unusual transactions. This includes regular checks against international sanctions lists and other databases to identify high-risk individuals or entities.
Reporting: Any suspicious activities or transactions will be reported to the relevant authorities in accordance with Singaporean law. We cooperate fully with regulatory bodies and law enforcement agencies to combat financial crimes.

4.4 Donation Processing

Donations made through the platform are processed by a third-party payment processor. 3 Degrees facilitates the transaction but does not directly handle the funds. Donations are subject to applicable fees, which will be clearly disclosed during the donation process.

4.5 Receipt of Donations

4.6 Communication and Updates

3 Degrees may send you emails or notifications about your donations, updates from campaigns you support, or other information relevant to your use of the platform. You can manage your communication preferences through your account settings.

4.7 Service Availability

While 3 Degrees strives to ensure the platform is available at all times, there may be occasions when the service is interrupted for maintenance, updates, or due to technical issues beyond our control. 3 Degrees is not liable for any loss or inconvenience caused by such interruptions.

4.8 Modifications to Services

3 Degrees reserves the right to modify, suspend, or discontinue any aspect of the platform or services at any time without notice. Any significant changes to services will be communicated to you through the platform or via email.

4.9 User Content

As a Donor, you may have the opportunity to post content, such as comments or reviews, related to the campaigns you support. By posting content, you agree to comply with our guidelines and not to post any illegal, harmful, or inappropriate material. 3 Degrees reserves the right to remove any user content that violates these guidelines.As a donor you may only post content that is connected to a registered charity on the platform, this content needs to be approved by the charity before being accepted onto the platform. The content must be relevant to the charities mission and stated purpose. As a Donor, you are not entitled to any of the donations made to the content once accepted to the platform.

4.10 No Endorsement

3 Degrees does not endorse any charity or campaign on the platform. Your decision to donate is based on your own judgment and due diligence. 3 Degrees is not responsible for the actions or omissions of any charity or the outcomes of any fundraising campaign.

5. User Obligations

5.1 Compliance with Laws and Terms

As a Donor, you agree to comply with all applicable laws, regulations, and these Terms while using the 3 Degrees platform. You are responsible for ensuring that your actions do not violate any local, national, or international laws.

5.2 Accurate Information

You must provide accurate, current, and complete information when creating your account and making donations. You are responsible for maintaining and promptly updating your account information to keep it true, accurate, and complete.

5.3 Account Security

You are responsible for maintaining the confidentiality of your account login information, including your password. You agree to notify 3 Degrees immediately of any unauthorized use of your account or any other breach of security. 3 Degrees will not be liable for any loss or damage arising from your failure to comply with this obligation.

5.4 Responsible and Acceptable Use

You agree to use the platform responsibly and only for lawful purposes. You must not:

Impersonate any person or entity or misrepresent your affiliation with any person or entity.
Post or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, or otherwise objectionable.
Engage in any activity that could damage, disable, overburden, or impair the platform or interfere with any other party’s use and enjoyment of the platform.
Attempt to gain unauthorized access to the platform, other user accounts, or computer systems or networks connected to the platform through hacking, password mining, or any other means.
Engage in any activity that violates applicable laws or regulations, including but not limited to AML and CTF laws.

5.5 Prohibited Activities

You agree not to:

Use the platform for any commercial purposes without prior written consent from 3 Degrees.
Collect or store personal data about other users without their express permission.
Use automated scripts to collect information from or otherwise interact with the platform.
Submit, post, or transmit any unsolicited or unauthorized advertising, promotional materials, spam, junk mail, chain letters, or any other form of solicitation.
Facilitate or engage in any activity that could be used to launder money or finance terrorism.

5.6 Reporting Violations

You are encouraged to report any violations of these Terms or suspicious activities on the platform to 3 Degrees. You can contact us at [email protected] to report any issues or concerns.

5.7 Cooperation with Investigations

You agree to cooperate fully with 3 Degrees in any investigation into potential or alleged violations of these Terms or illegal activities. This may include providing access to your account and related information as requested.

5.8 Termination of Access

3 Degrees reserves the right to terminate your access to the platform if you violate these Terms or engage in any behaviour that 3 Degrees deems harmful to the platform, other users, or third parties. Termination of access will be at 3 Degrees’ sole discretion and may occur without prior notice.

5.9 Indemnification

You agree to indemnify, defend, and hold harmless 3 Degrees, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the platform, your violation of these Terms, or your infringement of any rights of another.

6. Donations and Disbursements

6.1 Making Donations

By using the 3 Degrees platform, you can make donations to various charities and charitable campaigns. While we strive to ensure that charities use the funds effectively and for the intended purposes, we cannot ultimately be responsible for the actions or spending decisions of the receiving charities.Charities registered in Singapore are required to comply with regulations set forth by the Ministry of Culture, Community and Youth (MCCY). Key rules include:

70/30 Fund-raising Expenses Ratio: Charities must ensure that at least 70% of their annual income is spent on charitable activities that directly benefit their intended beneficiaries.
Annual Reporting: Charities are required to submit annual reports to the Commissioner of Charities, detailing their financial activities, governance, and compliance with regulatory requirements.
Public Accountability: Charities must maintain transparency and accountability in their operations, providing clear information about their activities, governance, and use of funds.

6.2 Donation Process

When you make a donation, the transaction will be processed through a third-party payment processor. You must provide accurate payment information, and you authorize 3 Degrees to charge your payment method for the donation amount and any applicable fees. The minimum donation amount is $1 and all donations shall be in whole dollars (no cents). The maximum donation amount shall be $5,000 in whole dollars (no cents).

6.3 Fees and Charges

Donations made through the 3 Degrees platform may be subject to referral fees, processing fees, and other charges. These fees will be clearly disclosed to you during the donation process. By completing a donation, you agree to pay these fees.

6.4 Disbursement of Donations

Donations collected by fundraising appeals will be disbursed to the relevant charity regardless of whether the fundraising appeal has met, failed to meet, or exceeded its fundraising target. Disbursements are processed through our payment gateway and are subject to applicable laws and regulations.Donors and charities agree that all transactions relating to fundraising appeals or campaigns can be verified and monitored for compliance with AML and CTF policies. This includes screening against international sanctions lists to ensure that no funds are directed to sanctioned individuals or entities.

6.5 Confirmation and Receipts

Upon completing a donation, you will receive a confirmation email and, if applicable, a receipt for your donation. It is your responsibility to retain these records for tax purposes or personal reference. 3 Degrees does not guarantee that donations will be tax-deductible, and it is your responsibility to verify this with the relevant authorities.

6.6 Refunds and Chargebacks

All donations made through the 3 Degrees platform are final and non-refundable, except as required by law. In the event of a chargeback, you agree to cooperate with 3 Degrees and the payment processor to resolve the issue. Any chargeback fees incurred by 3 Degrees due to a chargeback initiated by you may be charged back to your account.

6.7 Use of Donations

While you may suggest that your donation be used for a particular program or purpose, the charity receiving the donation has full discretion to allocate the funds as it deems appropriate or in accordance with applicable laws. 3 Degrees does not control or guarantee how donations will be used by the charities. However, we enforce strict policies to ensure that charities use donations in accordance with their stated purposes and comply with all applicable laws.

6.8 Transparency and Accountability

Charities using the 3 Degrees platform are required to provide accurate information about their fundraising campaigns and the use of donated funds. We actively monitor and enforce compliance to encourage charities to be faithful and honest in their operations. If we detect any misrepresentation or misuse of funds, we take appropriate action to address the issue and ensure accountability.

6.9 Tax Implications

It is your responsibility to determine the tax implications of your donations. 3 Degrees does not provide tax advice, and you should consult with a tax professional to understand how your donations may affect your tax situation. Receipts provided by 3 Degrees may be used for tax purposes, but it is your responsibility to ensure they meet the requirements of the relevant tax authorities.

7. Campaign Types and Restrictions

7.1 Supported Campaigns

3 Degrees supports a variety of charitable campaigns, including but not limited to:

Humanitarian aid
Education
Healthcare
Environmental conservation
Community development

All campaigns must comply with our platform’s guidelines and relevant laws and regulations.

7.2 Prohibited Campaigns

3 Degrees does not support campaigns that are related to or promote illegal activities, violence, hate speech, or discrimination. This includes, but is not limited to, campaigns promoting:

The sale of firearms
Drugs and controlled substances
Gambling
Any activities deemed illegal under Singaporean law

7.3 Restricted Activities

In addition to prohibited campaigns, certain activities are restricted on the platform. These include, but are not limited to:

Political fundraising or campaigning
Fundraising for personal expenses not related to charitable causes
Fundraising for commercial ventures

7.4 High-Risk Countries

3 Degrees does not support campaigns or transactions involving countries that are subject to international sanctions or are identified as high-risk for money laundering and terrorism financing. This includes, but is not limited to, the following countries:

Cuba
Iran
North Korea
Syria
Crimea, Donetsk, and Luhansk regions of Ukraine

7.5 Charity Vetting

All charities using the 3 Degrees platform are thoroughly vetted and approved through the Ministry of Culture, Community and Youth (MCCY) to ensure compliance with our standards and regulatory requirements. Charities must provide accurate and truthful information during the vetting process.

7.6 Compliance with Laws

All campaigns must comply with relevant local, national, and international laws and regulations. 3 Degrees reserves the right to remove any campaign that violates these laws or our platform guidelines.

7.7 Reporting Violations

If you become aware of any campaign that you believe violates these Terms or applicable laws, you are encouraged to report it to 3 Degrees. We take all reports seriously and will investigate any alleged violations.

7.8 Right to Remove Campaigns

3 Degrees reserves the right to remove any campaign from the platform at its sole discretion. This may occur if a campaign is found to be in violation of these Terms, applicable laws, or platform guidelines, or if it is deemed inappropriate for any reason.

8. Data Protection and Privacy

8.1 Compliance with PDPA

3 Degrees is committed to protecting the privacy of its users and complies with the Personal Data Protection Act (PDPA) 2012 (No. 26 of 2013) of Singapore. By using the platform, you agree to the collection, use, and disclosure of your personal data as described in these Terms and our Privacy Policy.

8.2 Collection of Personal Data

We collect personal data from you when you create an account, make a donation, or otherwise interact with the platform. This may include, but is not limited to:

Full name
Address
Contact details (e.g., email address, phone number)
Payment information
Any other information you choose to provide

8.3 Use of Personal Data

The personal data we collect is used for the following purposes:

To facilitate your use of the platform and the services provided
To process and administer donations
To communicate with you about your account and donations
To send you updates and information about campaigns you support
To improve and personalize your experience on the platform
To comply with legal and regulatory requirements

8.4 Disclosure of Personal Data

3 Degrees may disclose your personal data to the following parties for the purposes outlined above:

Charities receiving your donations
Third-party service providers (e.g., payment processors) involved in the operation of the platform
Regulatory authorities, if required by law
Any other party with your consent

8.5 Donor Information

Donor Personal Data shall include the full name, address, and contact details of the Donors who have made donations to the Account Holder in the previous Collection Period, except where the Donor has requested anonymity or has not requested a tax deduction. It shall also include the personal identification details (e.g., Name, Address, Telephone Number, NRIC, or FIN) of the Donors where a tax deduction has been requested.

8.6 Consent

By providing your personal data to 3 Degrees, you consent to the collection, use, and disclosure of your personal data as described in these Terms and our Privacy Policy. You have the right to withdraw your consent at any time by contacting us at [email protected]. However, withdrawing consent may affect your ability to use certain features of the platform.

8.7 Data Security

3 Degrees takes reasonable measures to protect your personal data from unauthorized access, use, disclosure, alteration, and destruction. This includes implementing appropriate technical and organizational safeguards. However, no method of transmission over the Internet or electronic storage is completely secure, and we cannot guarantee absolute security.

8.8 Access and Correction

You have the right to request access to and correction of your personal data held by 3 Degrees. If you wish to access or correct your personal data, please contact us at [email protected]. We will respond to your request as soon as reasonably possible.

8.9 Retention of Personal Data

3 Degrees and Donors shall retain records of all transactions and donor information for a minimum of five (5) years from the end of the financial year in which the transactions occurred, in accordance with the regulatory requirements of Singapore. This includes maintaining records for compliance with anti-money laundering (AML) and counter-terrorism financing (CTF) regulations.

8.10 Changes to Privacy Policy

3 Degrees reserves the right to modify its Privacy Policy at any time. Any changes will be communicated to you through the platform or via email. Continued use of the platform after such changes constitutes your acceptance of the updated Privacy Policy.

9. Financial Terms

9.1 Referral Fees

3 Degrees charges a referral fee for donations made through the platform. This fee is used to cover the costs of operating and maintaining the platform. The referral fee is 5% of the total donation amount and is subject to Goods and Services Tax (GST) in accordance with Singaporean law.

9.2 Disclosure of Fees

Referral fees, payment processing fees, payout transaction fees, and any applicable Goods and Services Tax (GST) are outlined in these Terms and may also be described in the platform's FAQs or informational materials.Donations received during each Collection Period will be disbursed to the Account Holder on a net basis after deduction of applicable referral fees, payment processing fees, payout transaction fees, and any other applicable charges.A monthly invoice and donation breakdown will be issued to the Account Holder, setting out the gross donation amounts received, all applicable deductions, and the resulting net disbursement.It is the Account Holder's responsibility to review these Terms and monthly invoices to understand all applicable charges and notify 3 Degrees of any discrepancies within a reasonable period.

9.3 Payment Processing

Donations made through the 3 Degrees platform are processed by third-party payment providers authorised to operate in Singapore. 3 Degrees facilitates the processing, reconciliation, and disbursement of donation funds via such payment providers and associated banking partners.The Account Holder acknowledges and agrees that

All donation transactions are subject to the terms and conditions of the third-party payment provider
Processing and disbursement times may vary depending on banking institutions, reconciliation processes, and verification requirements
The payment provider may impose additional fees, hold funds temporarily, or request further information to comply with financial or regulatory obligations.

3 Degrees is not responsible for any delays or issues arising from the systems, actions, or policies of the payment provider or banking institutions involved in the disbursement process.

9.4 Taxes

It is your responsibility to determine what, if any, taxes apply to the donations you make through the platform. 3 Degrees does not provide tax advice, and you should consult with a tax professional to understand the tax implications of your donations. Charities may provide receipts for tax purposes, but 3 Degrees does not guarantee that donations will be tax-deductible.

9.5 Collection Period

The Collection Period refers to the time frame during which donations are collected before being disbursed to the relevant charities. 3 Degrees will invoice the Account Holder on the 15th of every month for referral fees for donations collected during the preceding calendar month. Charities are responsible for notifying 3 Degrees of any errors or omissions in the invoice within 14 days of the invoice date.

9.6 Disbursement Schedule

Donations collected during the Collection Period will be disbursed to the relevant Account Holders on the 10th of every calendar month for the preceding calendar month.The disbursement process is subject to compliance with applicable laws and regulations.

9.7 Refund Policy

All donations made through the 3 Degrees platform are final and non-refundable, except as required by law. If you believe there has been an error in processing your donation, please contact us at [email protected]. Refunds will be processed in accordance with the terms and conditions of the third-party payment processor.

9.8 Late Payments and Penalties

Account Holders must make timely payments to 3 Degrees when due. Penalties may apply for any late payments received after the due date. Any payment made to 3 Degrees is not refundable.

9.9 Financial Accountability

3 Degrees is committed to financial transparency and accountability. We provide detailed records of all transactions to both donors and charities. Charities are required to maintain accurate financial records and comply with applicable laws and regulations.

9.10 Financial Disputes

If you have any disputes regarding the financial transactions conducted through the platform, please contact us at [email protected]. We will work to resolve any issues promptly and fairly.

10. Account Management

10.1 Account Creation

To use certain features of the 3 Degrees platform, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

10.2 Account Security

You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account. You agree to notify 3 Degrees immediately of any unauthorized use of your account or any other breach of security. 3 Degrees will not be liable for any loss or damage arising from your failure to safeguard your account.

10.3 Assignment of Rights

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of 3 Degrees. Any attempt to assign or transfer in violation of this provision will be null and void.

10.4 Termination by You

You may terminate your account at any time by ceasing to use the platform and providing written notice to 3 Degrees at [email protected]. Upon termination, your right to use the platform will immediately cease, but you will remain responsible for any obligations incurred before the termination date.

10.5 Termination by 3 Degrees

3 Degrees reserves the right to terminate or suspend your account at any time, with or without cause, and with or without notice. Termination may occur for reasons including, but not limited to, violation of these Terms, fraudulent or illegal activities, or conduct deemed harmful to 3 Degrees or its users.

10.6 Effect of Termination

Upon termination of your account:

Your right to use the platform and any services provided by 3 Degrees will immediately cease.
Any outstanding obligations or liabilities incurred prior to the termination date shall survive the termination of this agreement.
3 Degrees will retain any data collected during your use of the platform in accordance with our Data Protection and Privacy policies.

10.7 Content Removal and Disabling Accounts

3 Degrees reserves the right to remove any content you post on the platform that violates these Terms or is otherwise deemed inappropriate by 3 Degrees. We may also disable or terminate your account if you violate these Terms or engage in conduct that is harmful to the platform or other users.

10.8 Reactivation of Accounts

If your account has been terminated or suspended, you may request reactivation by contacting 3 Degrees at [email protected]. Reactivation of accounts is at the sole discretion of 3 Degrees and may be subject to conditions or limitations.

10.9 Changes to Account Management Policies

3 Degrees reserves the right to modify its account management policies at any time. Any changes will be communicated to you through the platform or via email. Continued use of the platform after such changes constitutes your acceptance of the updated policies.

11. Legal Provisions

11.1 No Solicitation

The platform is offered to help Account Holders raise money. 3 Degrees provides the technology to allow Account Holders to connect with Donors. The existence of the technology and platform is not a solicitation of donations by 3 Degrees. By using 3 Degrees, you understand and agree that 3 Degrees shall not be responsible for the use of your donations or the amount of funds raised by the Account Holder.

11.2 No Partnership

The use of the platform by Account Holders and Donors does not create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and 3 Degrees. You acknowledge that 3 Degrees is not a party to any agreement between you and any charity or other user of the platform.

11.3 Indemnity in Favour of 3 Degrees

11.4 Force Majeure

Neither party shall be liable for any default or delay in the performance of its obligations under these Terms if and to the extent that such default or delay is caused by events beyond the reasonable control of the non-performing party, including but not limited to acts of God, natural disasters, war, civil unrest, pandemics, or other similar causes.

11.5 User Disputes

You agree that you are solely responsible for your interactions with any other user of the platform. 3 Degrees reserves the right, but has no obligation, to become involved in any way with disputes between you and any other user.

11.6 Complaints

Any complaint arising in connection with these Terms shall be in writing and submitted to 3 Degrees for resolution within seven (7) days from the date of the incident which is the subject of the complaint. If the complaint is not resolved to the satisfaction of the parties within thirty (30) days, the complaint may be referred for consideration to the Singapore Mediation Centre.

11.7 Amendments to Legal Provisions

3 Degrees reserves the right to amend these legal provisions at any time. Any changes will be communicated to you through the platform or via email. Continued use of the platform after such changes constitutes your acceptance of the updated legal provisions.

12. Intellectual Property

12.1 License from Account Holder

By posting content on the platform, Account Holders grant 3 Degrees a non-exclusive, royalty-free, worldwide license to use, copy, display, transmit, publish, reproduce, adapt, and communicate to the public the content. This license includes making the content available on the 3 Degrees website or in publicity, marketing, or internal documents for the purposes of this agreement.

12.2 License for Content Manifestly Made Public by the Donor

By posting reviews, comments, or other content on the platform, Donors grant 3 Degrees a non-exclusive, royalty-free, worldwide license to use, copy, display, transmit, publish, reproduce, adapt, and communicate to the public the content. This license includes making the content available on the 3 Degrees website or in publicity, marketing, or internal documents for the purposes of this agreement.

12.3 Ownership

All content posted by Account Holders and Donors remains the property of the respective Account Holders and Donors. By granting licenses to 3 Degrees, you do not transfer ownership of your content. 3 Degrees does not claim ownership of any content you post on the platform.

12.4 Intellectual Property of 3 Degrees

All content and materials on the 3 Degrees platform, including but not limited to text, graphics, logos, images, audio clips, video clips, and software, are the property of 3 Degrees or its content suppliers and are protected by intellectual property laws. You agree not to use, copy, reproduce, modify, or distribute any content from the platform without the prior written consent of 3 Degrees.

12.5 Trademarks

The trademarks, service marks, and logos (collectively, the "Trademarks") used and displayed on the platform are registered and unregistered Trademarks of 3 Degrees and others. Nothing on the platform should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademark displayed on the platform without the written permission of 3 Degrees or the Trademark owner.

12.6 Reporting Intellectual Property Infringements

If you believe that your intellectual property rights have been infringed upon by content on the platform, please contact us at [email protected] with a detailed description of the alleged infringement. 3 Degrees will investigate and take appropriate action, which may include removing the infringing content.

12.7 User Content Guidelines

When posting content on the platform, you agree to adhere to our content guidelines, which prohibit posting illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable material. 3 Degrees reserves the right to remove any content that violates these guidelines.

12.8 Modifications to Intellectual Property Terms

3 Degrees reserves the right to modify its intellectual property terms at any time. Any changes will be communicated to you through the platform or via email. Continued use of the platform after such changes constitutes your acceptance of the updated intellectual property terms.

13. Miscellaneous

13.1 Entire Agreement

These Terms constitute the entire agreement between you and 3 Degrees regarding the use of the platform and supersede any prior agreements or understandings, whether written or oral, relating to the subject matter of these Terms.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be replaced with a valid and enforceable provision that most closely matches the intent of the original provision.

13.3 No Waiver

No waiver of any term of these Terms will be deemed a further or continuing waiver of such term or any other term, and 3 Degrees’ failure to assert any right or provision under these Terms will not constitute a waiver of such right or provision.

13.4 Additional Rights We Retain

If you select a username or similar identifier for your account, we may change it if we believe it is appropriate or necessary (for example, if it infringes someone's intellectual property or impersonates another user). 3 Degrees reserves all rights not expressly granted to you under these Terms.
